Legal documents to set up a new company in Viet Nam

In order to setup a new company in Vietnam (NewCo), the foreign investor have to prepare the following documents:

–   02 legalized and certified copies of Certificate of Incorporation or equivalent document;

–   02 legalized and certified copies of Memorandum of Association or equivalent document;

–    02 legalized and certified copies of Audited Financial Statements for the latest year;

–   02 legalized and certified copies of Passport of Person authorized representative of NewCo in Vietnam;

–   02 legalized and certified copies of Passport of proposed Legal Representative of NewCo in Vietnam.

–    02 certified copies of In-principle Office Lease Contract for the Head Office of the NewCo in Vietnam;

–   02 certified copies of Investment Certificate or Certificate of Business Registration of the Landlord in Vietnam who lease the Office to the NewCo;

–    02 certified copies of documents proving the rights of the Landlord to the Office to be leased, i.e. Construction Permit or Investment Certificate issued to the Office and/or Authorization Letter of the Office’s Owner in case the Lesser is not the Owner of the Office.

– 02 certified copies of documents proving that the Office satisfies conditions for fire prevention.
