Q: We are American company in Vietnam and wishes to engage a law firm to prepare (i) Minute of liquidation of the Office Sale Contract regarding to the office (ii) Contract for leasing the office and (iii) Loan Agreement for purchasing office and (iv) Commitment letters of key persons of the Client, please provide us your quotation?
A: SBLaw is a law firm duly established and operating under legislation in Vietnam that have expertise in the area of investment, real estate, commerce consultation and enterprise assistance. SBLaw is qualified for above mentioned requirements and is willing to advise Client regarding above said requests.
In consideration of the foregoing and of the mutual promises set forth herein and intending to be legally bound, two parties agree as follows:
1. Scope of Services and Services Schedule
1.1. Scope of Services:
Scope of services provided by SBLaw to Client is inclusive of following items:
- Preparing (i) Minute of liquidation of the Office Sale Contract regarding to the office (ii) Contract for leasing the office and (iii) Loan Agreement for purchasing office in line Vietnam Law in order to best protect rights and interest of Client and (iv) Commitment letters of key persons of the Client.
- Providing clarification (if it is necessary) regarding the drafted documents.
- Reviewing, revising and finalizing the drafted documents based on Client’s opinions (not exceeding 02 times).
1.2. Services Schedule:
i. The preparation of documents shall be completed within 05 working days;
ii. The start date of the service will be either the date of receiving deposit payment or when required documents and information are accomplished by Client whichever is later;
iii. Any delay in schedule due to reason beyond SB Law responsibilities including but not limited to change of law, a change of working schedule of related competent authorities, response to action of competent authority, request of change made by Client etc shall not be included in the Service Schedule.
2. Service fees and payment
2.1 Service fee
– Our fee for providing service under Item 2.1 above of this Contract shall be 12,000,000VND (Twelve million Vietnam Dong);
– The service fee is exclusive of the out of pocket expense occurred in connection with the services provided to Client, including but not limited to VAT (10%), bank fees for receipt, deposit or transfer of funds, translation, notary fees and other necessary fees/ charges related to settlement of the cases (if any). etc.
– In case Client requests SB Law to further finalize drafted documents and total time for such work exceed 02 times after delivery of the drafted documents, extra working hours shall be charges as per hourly rate. Hourly rate for extra working hours for revising the Documents shall be 2,000,000VND (Two million Vietnam Dong)/01 working hour.
2.2 Term of payment:
– Services fee shall be paid to SB Law as follows:
– Client shall pay 65% of service fee within 03 working days from signing date of this contract.
– Client shall pay remained fee within 03 working days from delivery of first drafted documents.
