Answer: Under Vietnam Law, foreign investor shall not be allowed to own pharma company which involves with import, export and distribution of pharmaceutical products.
Thus, you can only acquire local pharma company which involves with manufacturing only.
Vietnam does not has any separate law on M&A. M&A is only mentioned in several law instruments on investment, enterprise and securities law.
Accordingly, you can own up to 100% equity of companies manufacturing pharmaceutical products. However, you can only acquire up to 49% of such companies if they are listed on stock market.
If you acquire non-listed companies, you shall be required to obtain Investment Certificate. We can assist you in acquiring local company in Vietnam. Our legal services regarding M&A shall include:
