SBLAW provide Legal Consultancy Service regarding participation of negotiation, review and translate the commercial agent contract as follows:
Client is willing to engage a law firm on advices regarding (i) participating contract negotiation meeting with foreign partner, (ii) reviewing the commercial agent contract and (iii) translating the commercial agent contract from English to Vietnamese.
SBLaw is a law firm duly established and operating under legislation in Vietnam that have expertise in the area of investment, real estate, commerce consultation and enterprise assistance. SBLaw is qualified for above mentioned requirements and is willing to advice Client regarding above said requests.
1. Objective
SBLaw agrees to perform for Client and Client agrees to receive the legal consultancy services from SB Law regarding (i) participating contract negotiation meeting with foreign partner, (ii) reviewing the commercial agent contract and (iii) translating the commercial agent contract from English to Vietnamese. Detailed contents of services provided at Article 2 and Services fee stipulated at Article 3 of this contract
2. Scope of Services and services period
2.1 Scope of Services:
Scope of services provided by SBLaw to the Client is inclusive of following items:
2.1.1 Participating contract negotiation meeting with foreign partner:
- Notifying Client about the necessary documents;
- Directly participate in contract negotiation meeting between Client and foreign partner as an authorized attorney of the Client;
- Providing legal advice to Client directly during the negotiation meeting to entirely protect legitimate rights and interests of Client;
- Acquiring opinions of the meeting’s attendees to adjust the commercial agent contract in accordance with legitimate rights and interests of the contracting parties;
- Finalizing the commercial agent contract on the basis of absorbing the feedback of the meeting’s attendees as well as legal advices of the attorney;
2.1.2 Reviewing the commercial agent contract:
- Notifying Client about the necessary documents;
- Reviewing the commercial agent contract provided by the Client;
- Collecting Client’s feedback of the drafts to adjust the commercial agent contract accordingly;
- Finalizing the commercial agent contract on the basis of absorbing the feedback of Client.
2.1.3 Translate commercial agent contract from English to Vietnamese:
- Notifying Client about the necessary documents;
- Translating commercial agent contract provided by Client from English to Vietnamese;
- Delivering result to the Client.
2.2 Services period:
2.2.1. For scope of works listed at Item 2.1.1:
– Within 02 (two) working days counted from your delivery of necessary documents and information as provided under this Contract, SBLaw shall provide legal opinion/ documents using for the contract negotiation meeting;
– Within 02 (two) working days from the end of the contract negotiation meeting, SBLaw will finalize the contract on the basis of absorbing the feedback of the meeting’s attendees as well as legal consultation of attorney before delivering the result to Client.
2.2.2 For scope of works listed at Item 2.1.2:
– Within 02 (two) working days from the date of receiving necessary documents and information as provided under this Contract, SBLaw will provide the first review of the commercial agent contract provided by Client;
– Within 02 (two) working days from the date of receiving the feedback of Client for each of the review of S&B Law, SBLaw will provide an amendment for each of such review (called “amendment review”);
– Within a maximum of 03 (three) working days since the Client receives the review of the contract and/or the amendment review provided by SBLaw, Client must provide feedback for each of the review of the commercial agent contract and/or the amendment review. In case SBLaw does not receive feedback from the Client after this time-limit, it is implicitly considered that the Client had accepted each of the review of the commercial agent contract and/or the amendment review. Notwithstanding this provision, SBLaw and Client may agree on a different time period than the period specified in this paragraph.
– S&B Law shall only amend a maximum of 02 (two) times for each of the review based on feedback of Client, including internal feedback and feedback arising after participating negotiation meeting with the partner, from the first review as prescribed at the first paragraph of this Section.
2.2.3 For scope of works listed at Item 2.1.3:
– Within 05 (five) working days of receiving necessary documents and information as provided under legal this Contract, S&B Law will hand over to Client the Vietnamese translation of commercial agent contract provided by Client.
2.3 To avoid any doubts, SB Law and Client hereby confirm that any delay or lateness in the progress of work comes from reasons beyond the control of S&B Law including but not limited to change of laws, response of state agencies competent, Client changes its request ect, will not be included in the term of service.
