Regulation on using company stamp and paraph on a contract

SBLAW would like to present some regulations on using company stamp and paraph on a contract, i.e as follows:

Q: Does it require by law to make paraph on every page of the contract?

A: No, It does not. It is NOT legal requirement. However, to make paraph on every page of the contract or document  becomes very popular in many companies in Vietnam and also in the State Bodies. The purpose of this is to make sure that the contract/ document is reviewed carefully by the responsible person or the authorized person before having signed by Manager/Director/Legal Representative or Authorized person. 

It is internal regulation of entity and the Head of entity has the right to apply this regulation or not. 

Q: Does it require by law to affix the stamp on all pages together (đóng dấu giáp lai)?

A: Yes, it does. Cover stamp ( dấu giáp lai)  is legal requirement in order to assure the original of whole contract/ documents and to avoid missing/ changing  the content of the contract or important documents that have been approved/signed.

Q: If making paraph, does it still require to affix the stamp on all pages together?

A: In case a document (issued by a business entity) contains more than 2 pages, it is required to be sealed by a cover stamp of that business entity.
