Hau Giang Power Plant Joint Stock Company (“HGPP”) is the Investor of the Project of Building up the Thermal Power 10Mw Plant in Hau Giang Province (“Project”).
A Malaysian company is selected as the Contractor for the entire Project and shall be awarded the Engineering,
Procurement and Construction Agreement (“EPC Agreement”) valued US $ millions.
In order to implement the Project, a Malaysian Bank undertakes to finance (lend) about 70%-85% of the total value of the Project, which is equivalent to US $ millions.
HGPP then seek Law Firm to structure such transaction and prepare Joint Venture Contract between Parties.
It is required to structure multiple transactions between HGPP and Malaysian Company in one document, including capital transfer, exercising voting rights in Joint Venture Company, Call Options, Shares Offer to the public, loan etc.
