This is with regards to our discussion from which you requested us to review the Joint Venture Contract and Corporate Charter of JVC in Vietnam (hereinafter referred to as “Client”) in light of Vietnam Enterprise Law and Vietnam Investment Law 2014.
Thus, we are pleased to present herewith our Legal Service Proposal for your kind reference.
1. SCOPE OF WORKS
Our provision of services shall be as follows:

With the above scope of work, we anticipate roadmap of services as follows:
– Based on our understanding of your goal and legal status, we shall revise the Corporate Charter and Joint Venture Contractin order to best protect your right and interest under Vietnam Law. We plan to complete the Corporate Charter and Joint Venture Contract review within 05 working days. This time duraction is exclusive of necessary time for revising the drafted contract per Client’s request (15 working hours).
2. Professional fee
2.1. SB Law professional fees for the scope of work as stipulated at Item 3 shall be 42,000,000VND (Forty two million Vietnam Dong only);
– In case Client request us to further finalize Corporate Charter and Joint Venture Contract and total time for such work exceed 15 working hours, extra working hours shall be charges as per hourly rate.Hourly rate for extra working hours for revising the Contract shall be 3,000,000VND (Three million Vietnam Dong).
2.2. Services fee shall be paid to SB Law as follows:
– Upon legal service contract signing date, Client shall pay 65% of the total service fee.
– Client shall pay remained fee within 03 working days from delivery of first reviewed Corporate Charter and Joint Venture Contract.
– Client shall immediately notify SB Law of when actual payment(s) will be made on the amount specified in the invoice(s). SB Law will start working only upon receipt of payment of the respective invoice(s). Alternatively, SB Law reserves the right to withdraw this proposal if payment is not received 30 days after the date of the invoice. Further, in the event payments are not received by the payable date, SB Law reserves the right to suspend services and/or levy and collect a late payment fee of 1.5% per month or part thereof up to the date of receipt of payment by SB Law.
